Legal Counsel (Corporate)

Job Introduction

Here at BPP Education Group we have a dedicated in-house Legal Team who assist on all legal matters relating to BPP’s business, both in the UK and overseas.

 

Due to continued growth and expansion, an exciting opportunity has arisen for an experienced Corporate Legal Counsel to join the team and support strategic transactions and key initiatives across the business.

 

This role would suit someone with solid experience in corporate transactions — whether from a private practice or in-house environment — who’s confident handling M&A, debt or equity financing/structuring, and other complex corporate work.

What you’ll be doing

In this role you will provide expert legal advice on a wide range of corporate matters.

As such, you will:

  • Work closely with BPP’s M&A team, as well as external legal and other advisers, providing legal advice on corporate transactions (with a focus on UK and cross-border acquisitions)
  • Review, draft and negotiate key transaction and ancillary documents
  • Manage the legal due diligence process, including reviewing external due diligence reports and risk mitigation
  • Lead and support on workstreams on post-acquisition integration projects
  • Manage and advise on (with local support where necessary) the company secretarial requirements of the BPP Education Group globally
  • Advise on and facilitate other corporate related projects, such as international expansion into new or existing territories

 

What we’re looking for

To be successful in this role you will need to have a proven track record in the following areas:

  • Qualified solicitor in England & Wales with a focus on Corporate Law
  • Strong experience in private company M&A
  • Strong experience in advising on a wide range of general corporate and company secretarial matters
  • Ability to manage complex legal projects and external advisors independently
  • Excellent drafting, negotiation, problem-solving, communication and client/workload management skills
  • Strong interpersonal skills with the ability to work collaboratively and communicate complex legal concepts clearly
  • Commercially minded, with a can do, positive attitude and the ability to hit the ground running in a business that is continually evolving
